Terms & Conditions

§ 1 Scope
(1) These General Terms and Conditions ("GTC") apply to all business relationships between IndoFachkraft UG (haftungsbeschränkt), Im Biegel 12, 71522 Backnang (hereinafter "IndoFachkraft") and its clients (hereinafter "Client").
(2) Clients within the meaning of these GTC are exclusively entrepreneurs pursuant to § 14 BGB (B2B). IndoFachkraft's services are not directed at consumers.
(3) Conflicting or supplementary general terms and conditions of the Client shall only become part of the contract if IndoFachkraft has expressly agreed to them in writing.
(4) These GTC are available on IndoFachkraft's website at www.indofachkraft.de/agb and are attached to every offer and order confirmation.
§ 2 Services
(1) IndoFachkraft provides personnel placement services, in particular the placement of qualified Indian professionals to German employers.
(2) Services include: candidate search and pre-selection, German language training organisation, visa and recognition process support, relocation assistance, and integration support.
(3) IndoFachkraft does not guarantee that a placement will be made within a specific timeframe. All timelines are indicative.
§ 3 Remuneration
(1) The remuneration is agreed individually per engagement and set out in a written service agreement.
(2) Payment is typically structured in milestones: upon contract signing, upon the candidate passing the B2 language exam, and upon commencement of employment in Germany.
(3) All prices are quoted net plus statutory VAT unless otherwise agreed.
§ 4 Replacement Guarantee
(1) If a placed professional voluntarily terminates employment within the first 12 months, IndoFachkraft will provide a replacement candidate free of additional recruitment charges.
(2) The replacement guarantee does not apply if termination is caused by the Client's actions, insolvency, or force majeure.
§ 5 Confidentiality
Both parties undertake to treat all confidential information received in the course of the business relationship as strictly confidential and not to disclose it to third parties without prior written consent.
§ 6 Liability
(1) IndoFachkraft is liable without limitation for damages caused by intent or gross negligence.
(2) In cases of simple negligence, IndoFachkraft is only liable for breach of material contractual obligations. Liability is limited to foreseeable, typically occurring damage.
§ 7 Data Protection
The processing of personal data is carried out in accordance with IndoFachkraft's Privacy Policy and applicable data protection law (GDPR). The Privacy Policy is available at www.indofachkraft.de/datenschutz.
§ 8 Governing Law & Jurisdiction
(1) These GTC and all agreements concluded on their basis are governed by German law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
(2) The exclusive place of jurisdiction for all disputes arising from or in connection with these GTC is Stuttgart, Germany, provided the Client is a merchant, a legal entity under public law, or a special fund under public law.
§ 9 Miscellaneous
Should any provision of these GTC be or become invalid, the remaining provisions shall remain unaffected. The invalid provision shall be replaced by a valid provision that comes closest to the economic intent of the original provision.
